Welcome to teaaams. These Terms of Service ("Terms") govern your access to and use of the teaaams platform, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use after such changes constitutes acceptance of the new Terms.

teaaams is an internationalization (i18n) platform that helps teams manage translations and localize their software applications. Our Service includes:

• Translation management and workflow tools
• AI-powered translation assistance
• Developer integrations and APIs
• Collaboration features for teams
• Export and import capabilities for various file formats

We continuously improve and update the Service. Features may be added, modified, or removed at our discretion. We will provide reasonable notice for significant changes that materially affect your use of the Service.

To use most features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account

Age Requirements

Prohibited Content

Prohibited Actions

Your Content

You retain all rights to the content you upload, create, or store using the Service ("User Content"), including your translation projects, keys, and localized text. By using the Service, you grant us a limited license to:

• Create backups and copies for operational purposes
• Aggregate and anonymize data for analytics and service improvement

This license is non-exclusive, worldwide, royalty-free, and terminates when you delete your content or account.

Our Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by teaaams and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

Subscription Plans

teaaams offers both free and paid subscription plans. Paid plans provide additional features, storage, and capabilities as described on our pricing page.

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are exclusive of taxes, which will be added where applicable
• You authorize us to charge your payment method for all fees incurred
• Payments are processed by our third-party payment provider

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle. Continued use constitutes acceptance of the new prices.

Refunds

• Subscription fees are generally non-refundable
• We may offer refunds at our discretion for exceptional circumstances
• Annual subscriptions may be eligible for a prorated refund within 14 days of purchase

Free Plan

Our free plan allows you to use basic features of the Service with certain limitations. Free plans are provided "as is" and may be modified or discontinued at any time.

Paid Plans

Paid plans include additional features, higher usage limits, and priority support. Specific features and limits are described on our pricing page and may be updated from time to time.

Usage Limits

Each plan has specific limits on projects, translation keys, team members, and other resources. If you exceed your plan limits, you may need to upgrade or reduce usage. We will notify you before taking action on limit violations.

Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Factors outside our control (internet outages, third-party services)

Service Modifications

We may modify, update, or discontinue features of the Service at any time. For significant changes that materially affect your use, we will provide reasonable notice. Continued use after changes constitutes acceptance.

API Changes

If you use our API, we will maintain backward compatibility where reasonable. Breaking changes will be announced with appropriate notice and migration guidance.

Termination by You

You may cancel your account at any time through your account settings or by contacting us. Upon cancellation:

• Your access to the Service will end at the end of your current billing period
• You may export your data before account closure
• We will delete your data within 30 days, except where retention is required by law

Termination by Us

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• Your account is used for illegal activities
• You fail to pay applicable fees after notice
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Effect of Termination

Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination (intellectual property, limitation of liability, etc.) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any information obtained through the Service
• Warranties that the Service will meet your specific requirements

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• teaaams and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• teaaams shall not be liable for any loss of profits, data, use, goodwill, or other intangible losses
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless teaaams and its operators, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed with formal dispute resolution.

Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and teaaams regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.
